1. Introduction
By signing an order for development and design services ("Services") provided by Pixelfield Ltd, the client ("Client") agrees to be bound by these Terms of Service.

2. Services and Delivery
The Services will be delivered in accordance with the specifications, prices, and deadlines as outlined in the individual order. Each order will detail the scope of work, delivery dates, and agreed pricing. The scope of work may be adjusted as the project progresses, subject to mutual agreement between Pixelfield Ltd and the Client.

3. Payment Terms
    3.1 Payment Schedule
    Each order will outline the total costs and the number of payments required.
    • Initial Payment: The first payment is invoiced before the commencement of Services, based on the delivery timeline specified in the order.
    • Subsequent Payments: If the order includes multiple payments, subsequent payments are due at the start of each month.
    3.2 Payment Methods
    Payments can be made via bank transfer or payment card.
    3.3 Late Payments
    The Client is required to adhere to the payment schedule. Late payments may result in the suspension of Services until outstanding amounts are settled.

4. Cancellation Policy
    4.1 Cancellation Rights
    Either Pixelfield Ltd or the Client may cancel the Services at any time without specific reason.
    4.2 Payment Upon Cancellation
    Upon cancellation, the Client agrees to pay for all work completed by Pixelfield Ltd up to the date of cancellation. The amount due will be invoiced and is payable by the Client.
    4.3 No Refunds for Completed Payments
    Except as otherwise stated, fees paid for Services are non-refundable. Cancelling the Services will stop future payments, but fees already paid are not refundable.

5. Limitation of Liability
Neither Pixelfield Ltd nor the Client shall be liable to each other, or any third party, for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, or the cost of substitute services, arising out of or in connection with these Services, whether the claim is based in contract, tort (including negligence), strict liability, or otherwise, and whether or not either party has been advised of the possibility of such damages.

6. Mutual Non-Disclosure
Both parties agree to maintain confidentiality regarding any confidential information exchanged during the course of the Services. This obligation survives the termination or completion of the Services.

7. Use of Project in References
Pixelfield Ltd reserves the right to mention the project and use it as a reference in its portfolio, marketing materials, or other communications, unless expressly prohibited by the Client in writing.

8. Transfer of Ownership and Licensing
Upon full payment, the Client will obtain ownership of the final outputs of the Services. The Client will also receive a full license to use the outputs for any lawful purpose.

9. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the United Kingdom.

10. Acknowledgement
By signing an order and making the required payments, the Client acknowledges having read, understood, and agreed to these Terms of Service.

11. Entire Agreement
These Terms of Service, together with the signed order, constitute the entire agreement between Pixelfield Ltd and the Client regarding the Services.

12. Amendments
These Terms of Service, together with the signed order, constitute the entire agreement between Pixelfield Ltd and the Client regarding the Services.

13. Scope, Budget, and Timeline Changes
    13.1 Modification Process
    Any changes to the scope of work, budget, or delivery timeline must be agreed upon by both Pixelfield Ltd and the Client. Such agreements can be made through:
    • Email Communication
    • Discord Messages
    • Instant Messaging Services (e.g., WhatsApp, Telegram, or similar)
    • Formal Amendments to the Order
    13.2 Documentation of Changes
    All agreed-upon changes must be documented in writing, either within an amended order or through written correspondence (email, Discord, instant messaging) that is acknowledged by both parties.
    13.3 Impact on Costs and Deadlines
    Adjustments to the scope may result in changes to the total cost and/or delivery timeline. These adjustments will be clearly outlined and agreed upon before any additional work is undertaken.
